The Securities and Exchange Board of India (SEBI) has implemented a new settlement framework effective from November 7, 2026. Through this new arrangement, eligible individuals and entities will be able to resolve specific regulatory proceedings through a systematic structure. This framework includes an online application process, a calculator for computing the settlement amount, and rules for expedited disposal in certain cases.
According to reports, SEBI issued a notification regarding this on October 8. These new rules, known as the 'Administrative and Civil Proceedings of Settlement Regulations 2026', will replace the old settlement framework of 2018 under transitional and saving provisions. The primary objective of this change is to simplify the regulatory settlement process while maintaining safeguards against serious violations of the securities market.
To make the settlement application process easier, SEBI has introduced several new facilities. These include an online settlement application facility, a settlement amount calculator, Frequently Asked Questions (FAQs), and a dedicated help desk. Additionally, the regulator has released a video explaining how applicants can calculate the settlement amount.
According to the rules, eligible applicants can apply as per the Settlement Regulations, 2026. Under this framework, applicants meeting the required conditions can seek settlement of proceedings determined at different stages. Regarding the application fee, a non-refundable fee of ₹25,000 for the general public and ₹35,000 for other applicants has been fixed. The minimum settlement amount has been kept at ₹3 lakh for first-time applicants and ₹7 lakh for second-time applicants.
However, the final settlement amount will depend on several factors. These include the base amount, the stage of the proceedings, the nature and severity of the violation, regulatory actions, as well as applicable aggravating or mitigating circumstances. Applications related to proceedings pending before SEBI must generally be submitted within 120 days of receiving a show-cause notice or a supplementary show-cause notice. However, this time limit will not apply to special proceedings pending before the Securities Appellate Tribunal or the Supreme Court.
A 'Fast-Track Settlement System' has also been introduced in the new rules, which will operate on a violation-based and monetary threshold-based process. Under the monetary threshold mechanism, applications with a settlement amount up to ₹10 lakh may be eligible for fast-track processing, provided they do not involve disgorgement, corrective measures, or additional regulatory conditions.
Settlement is not possible in all cases. Certain serious violations have been kept outside this framework. These include cases involving willful defaulters, fraudulent debtors, and fugitive economic offenders. Additionally, cases that have a widespread impact on the market, cause significant loss to investors, or jeopardize market integrity may also be excluded from settlement based on regulatory rules.
According to the rules on confidentiality and approval processes, applicants who cooperate well during investigations or audits will be granted settlement approval with confidentiality benefits subject to certain conditions. Settlement applications will be examined by an internal committee and a high-powered advisory committee, which will recommend appropriate terms. Finally, a panel of SEBI's whole-time members will decide whether to accept or reject the application.
The Securities and Exchange Board of India (SEBI) is a regulatory body established by the Government of India, which works to protect the interests of the stock market and investors.
